1. Agreement to Terms

These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between you (“you,” “your,” “Customer,” or “User”) and Tonik Sciences LLC, a Kentucky limited liability company (“Tonik,” “we,” “us,” or “our”), which operates the website located at www.tonikpeptides.com and any related subdomains, content, features, and services (collectively, the “Site”), and governs your purchase of any products offered through the Site (the “Products”).

By accessing, browsing, registering for an account, or purchasing any Product through the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access the Site or purchase any Product.

2. Definitions

  • “Products” means the peptides, proteins, amino acid chains, chemical compounds, reference standards, and related research materials offered for sale on the Site.
  • “Research Use Only” or “RUO” means use solely in a controlled laboratory setting by qualified professionals for in-vitro (outside a living organism) research and development purposes, and never for use in or on humans or animals.
  • “Qualified Researcher” means an individual or entity that possesses the education, training, professional licensure, institutional affiliation, and facilities necessary to safely handle research chemicals in compliance with all applicable laws and standards.
  • “Applicable Law” means all federal, state, local, and international laws, statutes, rules, regulations, ordinances, and orders that apply to your access to the Site and your purchase, handling, storage, use, and disposal of the Products.

3. Research Use Only — Not for Human or Veterinary Use

All Products offered by Tonik are sold exclusively as laboratory reference materials and research chemicals for in-vitro research use only. The Products are intended solely for legitimate scientific, laboratory, analytical, developmental, and research applications conducted by Qualified Researchers.

You expressly acknowledge, understand, and agree that the Products are:

  • NOT for human consumption, ingestion, injection, inhalation, topical application, or any form of introduction into the human body;
  • NOT for veterinary use or for administration to, or use in or on, any animal;
  • NOT drugs, medicines, foods, beverages, dietary supplements, nutritional products, cosmetics, or medical devices;
  • NOT approved by the U.S. Food and Drug Administration (“FDA”) or any other regulatory authority for human or animal use;
  • NOT intended to diagnose, treat, cure, prevent, mitigate, or otherwise affect any disease, condition, or state of health in humans or animals; and
  • NOT to be resold, relabeled, repackaged, or distributed for any purpose other than bona fide laboratory research.

By placing an order, you represent and warrant that you are a Qualified Researcher (or are purchasing on behalf of a research institution, laboratory, or business engaged in such research), that you will use the Products solely for lawful research use only, and that you will not use, permit the use of, or supply the Products for any human or veterinary purpose. You assume full and sole responsibility for the safe and lawful handling, use, storage, and disposal of the Products.

Misbranding and misuse. Any use of the Products other than as research materials, and any statement, resale, or marketing that suggests the Products are safe or intended for human or animal consumption, is a material breach of these Terms, is strictly prohibited, and may violate federal and state law. Tonik disclaims all liability arising from any such prohibited use.

4. FDA and Regulatory Disclaimer

The statements and Products on this Site have not been evaluated by the U.S. Food and Drug Administration. The Products are not drugs and are not intended to diagnose, treat, cure, or prevent any disease. No claim, statement, or information provided on the Site, in any product description, or in any communication from Tonik is intended to constitute, and none should be construed as, a representation that any Product is safe or effective for human or animal use, or that it has been approved or cleared by the FDA or any comparable regulatory authority.

The Products are not classified as dietary supplements under the Federal Food, Drug, and Cosmetic Act (“FDCA”) and are not subject to the labeling requirements applicable to consumer products. Tonik makes no representation that the Products comply with the FDCA, the Dietary Supplement Health and Education Act, or any other regulatory framework governing products intended for human or animal consumption, because the Products are not intended for such use. Content is provided for informational and research reference purposes only. You should not rely on any content as a substitute for advice from a qualified professional. Tonik is not a pharmacy, healthcare provider, or veterinary provider, and does not provide any medical or clinical services.

6. Eligibility and Account Registration

6.1 Eligibility

To access the Site and purchase Products, you must be at least eighteen (18) years of age (or the age of majority in your jurisdiction, if higher), possess the legal capacity to enter into a binding contract, and not be barred from purchasing or receiving the Products under any Applicable Law. By using the Site, you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete.

6.2 Accounts

Certain features may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to refuse service, suspend, or terminate accounts, cancel orders, or limit quantities in our sole discretion, including where we suspect fraud, misuse, or a violation of these Terms.

7. Orders, Pricing, and Payment

7.1 Order Acceptance

All orders are subject to our acceptance, and we may accept or decline any order, in whole or in part, for any reason and at any time, including after you receive an order confirmation. No contract of sale exists until we accept your order and ship the Products. We may require additional verification or information before accepting an order and may cancel any order at any time prior to shipment.

7.2 Pricing

All prices are stated in U.S. dollars and are subject to change without notice. We make reasonable efforts to ensure pricing accuracy, but errors may occur. If a Product is listed at an incorrect price due to typographical, technical, or other error, we reserve the right to cancel or refuse any order placed at the incorrect price, whether or not the order has been confirmed, and to correct the error. Prices do not include applicable taxes, shipping, handling, duties, or other charges unless expressly stated.

7.3 Payment

You agree to pay all charges incurred in connection with your order, including Product prices, taxes, and shipping and handling fees, using a valid payment method. By providing a payment method, you represent and warrant that you are authorized to use it and authorize us (and our third-party payment processors) to charge it for the total amount of your order. You are responsible for any applicable sales, use, excise, or similar taxes. We are not responsible for, and do not store, your full payment card details, which are handled by our payment processors subject to their terms.

7.4 Taxes

You are responsible for any and all taxes, duties, tariffs, or governmental assessments associated with your purchase, other than taxes based on our net income. Where we are required to collect sales or use tax, such tax will be added to your order total.

8. Shipping, Delivery, and Risk of Loss

We will make reasonable efforts to ship accepted orders within the estimated timeframes described on the Site, but all shipping and delivery dates are estimates only and are not guaranteed. We are not liable for delays caused by carriers, customs, weather, or other events beyond our reasonable control. Title and risk of loss for all Products pass to you upon our delivery of the Products to the carrier. You are responsible for providing accurate shipping information; we are not responsible for orders delivered to an incorrect address that you provided.

You are solely responsible for ensuring that the receipt, importation, possession, handling, storage, and use of the Products is lawful in your jurisdiction and at your delivery location. We may decline to ship to certain jurisdictions or addresses. Any import duties, taxes, or customs fees are your responsibility.

9. Returns, Refunds, and Cancellations — All Sales Final

ALL SALES ARE FINAL. Because the Products are sensitive research materials whose purity, integrity, and storage conditions cannot be verified once they leave our custody, all Products are sold on a final-sale basis and are non-returnable, non-exchangeable, and non-refundable, except as expressly set forth in this Section or as required by Applicable Law.

This Section, together with any separate Return Policy posted on the Site at https://tonikpeptides.com/refunds_returns (which is incorporated into these Terms by reference), governs all returns, refunds, and cancellations. In the event of any conflict between this Section and a separately posted Return Policy, this Section controls unless the separately posted policy expressly states otherwise.

  • Damaged, defective, or incorrect items: If you receive a Product that is damaged in transit, defective, or not what you ordered, you must notify us at info@tonikpeptides.com within seven (7) days of delivery, with your order number and photographic documentation. Subject to our verification, we will, at our option and as your sole and exclusive remedy, replace the Product or issue a refund or store credit.
  • Order cancellations: You may request cancellation of an order before it ships by contacting info@tonikpeptides.com. Once an order has shipped, it cannot be cancelled.
  • No returns of opened or used Products: For safety and integrity reasons, we cannot accept the return of any Product that has been opened, used, or is no longer in its original, sealed condition.

Approved refunds will be issued to the original payment method within a commercially reasonable time. Shipping and handling charges are non-refundable except where a Product was damaged, defective, or incorrect.

10. Customer Responsibilities and Compliance

As a condition of purchasing and using the Products, you represent, warrant, and covenant that you will, at your sole expense:

  • Use the Products solely for lawful laboratory research use only, and never for human or veterinary use;
  • Comply with all Applicable Laws, including those governing the purchase, import, export, possession, handling, storage, labeling, transportation, and disposal of research chemicals;
  • Ensure that all persons who handle the Products are Qualified Researchers with appropriate training and protective equipment, and that the Products are handled only in an appropriate laboratory environment;
  • Not resell, distribute, transfer, relabel, or repackage the Products for human or veterinary use or in any manner that misrepresents their intended research-only purpose;
  • Maintain any licenses, registrations, and permits required for your activities; and
  • Not use the Products in any way that could endanger health or safety or violate any law.

11. Prohibited Uses of the Site

In addition to the Product-use restrictions above, you agree not to, and not to permit any third party to:

  • Use the Site for any unlawful, fraudulent, or unauthorized purpose, or in violation of these Terms;
  • Misrepresent your identity, affiliation, or intended use of the Products;
  • Access, tamper with, or use non-public areas of the Site, our systems, or the technical delivery systems of our providers;
  • Introduce viruses, malware, or other harmful code, or attempt to probe, scan, or test the vulnerability of any system or network;
  • Use any robot, spider, scraper, or other automated means to access the Site or collect information without our prior written permission;
  • Interfere with or disrupt the Site, servers, or networks, or circumvent any security or access-control measures; or
  • Infringe or misappropriate the intellectual property or other rights of Tonik or any third party.

We strive to describe the Products, including their purity, specifications, and certificates of analysis, as accurately as possible. However, we do not warrant that product descriptions, images, pricing, availability, or other content on the Site are accurate, complete, reliable, current, or error-free. Product characteristics may vary, and images are for illustration only. All Products are subject to availability, and we may discontinue, modify, or limit the availability of any Product at any time without notice. In the event of an error, we reserve the right to correct it and to revise your order accordingly or cancel the order and refund any amount charged.

If you submit reviews, comments, questions, or other content to the Site (“User Content”), you grant Tonik a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, and display such User Content in any media in connection with our business. You represent that you own or have the necessary rights to your User Content and that it does not violate these Terms or any third-party rights. You must not submit User Content that is unlawful, defamatory, misleading, infringing, or that describes, encourages, or endorses human or veterinary use of the Products. We may, but are not obligated to, monitor, edit, or remove any User Content in our sole discretion.

The Site may contain links to third-party websites, resources, or services that are not owned or controlled by Tonik. We provide these links for convenience only and do not endorse and are not responsible for the content, products, policies, or practices of any third party. Your use of third-party websites and services is at your own risk and subject to their terms.

16. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TONIK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, TONIK MAKES NO WARRANTY THAT ANY PRODUCT IS SAFE, SUITABLE, OR APPROVED FOR HUMAN OR VETERINARY USE, AND DISCLAIMS ANY IMPLIED WARRANTY OF FITNESS FOR ANY SUCH USE, AS THE PRODUCTS ARE SOLD FOR RESEARCH USE ONLY. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or its servers are free of harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

17. Assumption of Risk

You acknowledge that the Products are research chemicals that may be hazardous and that handling them involves inherent risks. You knowingly and voluntarily assume all risks associated with the purchase, handling, storage, use, and disposal of the Products, and you agree that Tonik has no responsibility or liability for any injury, loss, or damage arising from your handling or use of the Products, including any use that violates these Terms.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TONIK, ITS OWNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS (COLLECTIVELY, THE “TONIK PARTIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE TONIK PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE TONIK PARTIES ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, AND THE PRODUCTS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO TONIK FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

THE TONIK PARTIES SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGES, INJURIES, OR LOSSES ARISING FROM ANY USE OF THE PRODUCTS IN OR ON HUMANS OR ANIMALS OR FOR ANY USE OTHER THAN AS RESEARCH MATERIALS, ALL OF WHICH ARE STRICTLY PROHIBITED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

19. Indemnification

You agree to indemnify, defend, and hold harmless the Tonik Parties from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of the Site; (b) your purchase, handling, storage, use, resale, or disposal of any Product; (c) any use of the Products in or on humans or animals or for any purpose other than research use only; (d) your violation of these Terms or any Applicable Law; (e) your violation of any third-party right; or (f) any User Content you submit. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us.

20. Export Controls and Trade Compliance

The Products and related technical data may be subject to U.S. export control and economic sanctions laws and the import/export laws of other jurisdictions. You represent that you are not located in, under the control of, or a national or resident of any country or on any list that is subject to U.S. embargo or restriction, and you agree to comply with all applicable export and import laws. You will not export, re-export, or transfer any Product in violation of such laws. You are solely responsible for obtaining any licenses or authorizations required for your import, export, or use of the Products.

21. Dispute Resolution, Binding Arbitration, and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL, AND REQUIRES INDIVIDUAL ARBITRATION OF MOST DISPUTES ON A NON-CLASS BASIS.

21.1 Informal Resolution

Before initiating any formal proceeding, you agree to first contact us at info@tonikpeptides.com and provide a written description of the dispute and your contact information, and to attempt in good faith to resolve the dispute informally for at least sixty (60) days. Many disputes can be resolved this way.

21.2 Binding Arbitration

If the dispute is not resolved informally, you and Tonik agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Products (a “Dispute”) shall be resolved exclusively through final and binding individual arbitration, rather than in court, except as provided below. The arbitration shall be governed by the Federal Arbitration Act (“FAA”) and administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or Commercial Rules, as applicable), as modified by these Terms. The arbitration shall be conducted by a single arbitrator, and, unless the parties agree otherwise, any in-person hearing shall take place in Warren County, Kentucky. The arbitrator has exclusive authority to resolve any Dispute, including any question of the arbitrability or enforceability of this arbitration agreement. Judgment on the award may be entered in any court of competent jurisdiction.

21.3 Class-Action and Jury-Trial Waiver

YOU AND TONIK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. YOU AND TONIK ALSO WAIVE THE RIGHT TO A TRIAL BY JURY.

21.4 Exceptions and Opt-Out

Notwithstanding the foregoing, either party may (a) bring an individual action in small-claims court for disputes within that court’s jurisdiction, and (b) seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information. You may opt out of this arbitration agreement by sending written notice to info@tonikpeptides.com (or by mail to Tonik Sciences LLC, 5300 Scottsville Rd, PO Box 51250, Bowling Green, KY 42102) within thirty (30) days of first accepting these Terms, stating your name, address, and intent to opt out. If any portion of this Section 21 (other than the class-action waiver) is found unenforceable, that portion shall be severed and the remainder enforced; if the class-action waiver is found unenforceable as to a particular claim, that claim shall proceed in court.

22. Governing Law and Venue

These Terms and any Dispute arising out of or relating to them, the Site, or the Products shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws principles, and, where applicable, the Federal Arbitration Act. Subject to the arbitration provisions above, you agree that any action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Warren County, Kentucky, and you consent to the personal jurisdiction of, and venue in, such courts and waive any objection based on inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

23. Suspension and Termination

We may suspend, restrict, or terminate your access to the Site or your account, cancel or refuse any order, and remove any content, at any time and for any reason, including if we believe you have violated these Terms or Applicable Law, without notice or liability to you. Upon termination, the provisions of these Terms that by their nature should survive — including Sections concerning Research Use Only, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — shall survive.

24. Force Majeure

Tonik shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, labor disputes, supply-chain disruptions, carrier delays, utility or telecommunications failures, or interruptions of the internet.

25. Changes to These Terms and the Site

We may modify these Terms at any time by posting the revised Terms on the Site and updating the “Last Updated” date. Changes are effective upon posting unless otherwise stated. Your continued access to or use of the Site or purchase of Products after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site. We may also modify, suspend, or discontinue any part of the Site or the Products at any time without notice or liability.

26. Electronic Communications and Notices

By using the Site or providing us your contact information, you consent to receive communications from us electronically, including by email and by postings on the Site, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. 28. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any other policies or terms referenced herein, constitute the entire agreement between you and Tonik regarding the Site and the Products and supersede all prior or contemporaneous understandings.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that or any other right or provision.

Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign these Terms, including in connection with a merger, acquisition, reorganization, or sale of assets.

No Third-Party Beneficiaries. Except for the Tonik Parties, these Terms do not confer any rights on any third party.

Relationship. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Tonik.
